These Terms of Service ("Terms") form a binding legal agreement between you ("you," "your," "User") and Oleksandr Zayats — Empresário em Nome Individual ("we," "us," "our," "ProTilo"), NIF 311513131, with place of business in Parede, Portugal, governing your access to and use of the ProTilo mobile application and related services (collectively, the "Service").
By creating an account, downloading the app from the App Store, or otherwise accessing the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.
ProTilo is a wellness-tracking mobile application that helps you record and reflect on subjective wellbeing through daily check-ins, journaling, and on-device pattern observations. The Service includes optional integration with Apple HealthKit (read-only) and an optional AI Analysis Export feature that allows you to manually share selected content with third-party AI services of your choice (see §9 and the AI Transparency document).
The Service is provided as software-as-a-service ("SaaS") and is not a downloadable, perpetually-licensed product.
You must be at least 18 years old to create an account and use the Service. By creating an account, you represent and warrant that you are 18 years of age or older. We may suspend or terminate the account of any user we reasonably believe to be under 18 and irreversibly delete all associated data.

You are responsible for all activity that occurs under your account. We are not liable for any loss or damage arising from your failure to safeguard your credentials.
Each natural person may hold one (1) active ProTilo account. We may suspend or merge duplicate accounts.

The current version of the Service (version 1.0) is offered free of charge. We may introduce paid features, subscriptions, or one-time purchases in future versions. Where we do so:
If and when we introduce paid features, you understand that Apple — not ProTilo — is the merchant of record for the App Store, and that Apple's Apple Media Services Terms and Conditions govern your purchase relationship with Apple. Refunds, where applicable, are subject to Apple's policies; you may request a refund directly from Apple via reportaproblem.apple.com.
The Service — including all software, design, branding ("ProTilo"), text, graphics, logos, icons, sounds, and underlying technology — is owned by Oleksandr Zayats (ENI) or our licensors and is protected by Portuguese, EU, and international intellectual-property laws. No rights are granted to you other than the limited licence in §6.2.
Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the Service on Apple-branded devices that you own or control, solely for your personal, non-commercial wellness-tracking purposes. This licence terminates automatically when you delete your account or when these Terms terminate under §14.
You retain all rights to the journal entries, photos, and other content you upload to the Service ("Your Content"). You grant us a limited, worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, and display Your Content solely to the extent necessary to operate the Service and deliver features to you. We do not use Your Content to train AI models or for any purpose beyond operating the Service for you.
If you send us suggestions, feature requests, or other feedback, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose, without obligation to you.
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains what personal data we collect, how we use it, with whom we share it, and your rights under the EU General Data Protection Regulation (GDPR).
You can export your data and delete your account at any time through Settings → Safety.
The Service is intended for general wellbeing reflection and self-tracking. It is:
Always seek the advice of a qualified healthcare professional for any question about a medical condition or before starting, stopping, or changing any treatment. Never disregard professional medical advice or delay seeking it because of something you have read or seen in the Service.
In a medical emergency, call your local emergency number — 112 across the European Union.
Insights, patterns, and analyses surfaced by the Service — whether produced by on-device rules or by third-party AI services through manual export — are for your personal reflection only and must not be relied upon as medical guidance.
If you grant permission, the Service reads selected health metrics from Apple Health (sleep, step count, heart rate, heart-rate variability). The Service never writes to Apple Health. Your use of Apple Health is governed by Apple's own terms and privacy policy.
If you choose to sign in with Google or with Apple, your relationship with those providers is governed by their respective terms and privacy policies. We only receive the minimum identity information necessary to create your ProTilo account.
The Service includes an optional feature that generates a text prompt summarising selected journal entries, copies it to your device clipboard, and offers a deep-link to open a third-party AI app of your choice (Google Gemini, Anthropic Claude, OpenAI ChatGPT). You decide whether to paste the prompt into the third-party app. Once you do so, the third-party provider becomes the data controller for that interaction under its own privacy policy.
We are not responsible for the accuracy, completeness, or appropriateness of AI-generated responses. Responses are for personal reflection only and must not be interpreted as medical advice. See the AI Transparency document for full detail.
References to third-party services do not constitute endorsement. We are not responsible for the content, privacy practices, or availability of third-party services.
The following terms apply to your use of the Service on Apple devices:
You acknowledge that these Terms are concluded between you and ProTilo only, and not with Apple Inc. or its subsidiaries ("Apple"). ProTilo, not Apple, is solely responsible for the Service and its content.
The licence granted to you for the Service is limited to a non-transferable licence to use the Service on any Apple-branded products that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that the Service may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.
ProTilo, not Apple, is solely responsible for providing any maintenance and support services with respect to the Service, as specified in these Terms or as required by applicable law. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Service.
ProTilo, not Apple, is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Service to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Service (if any) to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Service, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be ProTilo's sole responsibility.
You and ProTilo acknowledge that ProTilo, not Apple, is responsible for addressing any of your claims or any third-party claims relating to the Service or your possession and/or use of the Service, including but not limited to: (i) product-liability claims; (ii) any claim that the Service fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer-protection, privacy, or similar legislation, including in connection with the Service's use of the HealthKit and HomeKit frameworks.
You and ProTilo acknowledge that, in the event of any third-party claim that the Service or your possession and use of the Service infringes that third party's intellectual-property rights, ProTilo, not Apple, will be solely responsible for the investigation, defence, settlement, and discharge of any such intellectual-property infringement claim.
You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
You and ProTilo acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.
To the maximum extent permitted by applicable law, the Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or uninterrupted availability.
We do not warrant that:
Nothing in these Terms excludes or limits warranties, rights, or remedies that cannot be excluded or limited under applicable consumer-protection law. EU consumers retain all statutory rights that cannot be waived by contract — see §16.
To the maximum extent permitted by applicable law:
In no event will ProTilo, its affiliates, or any of its officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, or any other intangible loss, arising out of or in connection with your use of, or inability to use, the Service.
To the maximum extent permitted by applicable law, ProTilo's total aggregate liability to you for all claims arising out of or relating to these Terms or the Service will not exceed the greater of: (i) the total amount you have paid us in the twelve (12) months preceding the event giving rise to the claim; or (ii) five hundred euros (€500).

You acknowledge and agree that any decision you make about your health based on the Service is your sole responsibility, and that ProTilo is not liable for any consequence — medical, psychological, financial, or otherwise — of such decisions. The Service is a reflection tool only.
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless ProTilo and Oleksandr Zayats from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:
This §13 does not apply to claims arising from ProTilo's own breach of these Terms or its own unlawful acts, and does not affect statutory consumer rights that cannot be waived.
You may stop using the Service and delete your account at any time through Settings → Safety → Delete Account. Account deletion is irreversible after the 7-day grace period and removes your data as described in the Privacy Policy.
We may suspend or terminate your access to the Service, with or without notice, if:
Where termination is for our convenience (not for breach by you), we will give you reasonable opportunity to export your data before termination.
Upon termination: (i) your right to use the Service ends immediately; (ii) your data is handled in accordance with the Privacy Policy retention rules; and (iii) provisions that by their nature survive termination (including §6, §11, §12, §13, §15) continue in effect.
These Terms are governed by the laws of the Portuguese Republic, without regard to its conflict-of-laws principles. EU regulations directly applicable in Portugal (including the GDPR) apply in full.
Subject to §15.3 (EU consumer rights), any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Lisbon, Portugal.
Nothing in §15.2 deprives you, as an EU consumer, of the protection of the mandatory rules of the law of the country in which you have your habitual residence. If you are an EU consumer, you may bring proceedings before the courts of your country of residence or of Portugal, at your choice, in accordance with Regulation (EU) No 1215/2012 (Brussels I bis).

Continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms.
These Terms, together with the Privacy Policy and the AI Transparency document, constitute the entire agreement between you and ProTilo regarding the Service and supersede any prior agreements.
If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to a successor in connection with a merger, acquisition, or sale of assets, subject to the notice provisions in the Privacy Policy.
Neither party is liable for failure to perform obligations to the extent that failure is caused by events beyond reasonable control, including acts of war, terrorism, civil unrest, pandemic, government action, infrastructure failure, or natural disaster.
These Terms are written in English, which is the binding version. Translations, where provided, are for convenience only; in case of inconsistency, the English version prevails.
We may send notices to the email address associated with your account. You consent to receive electronic communications from us, and you agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
